Terms of Service

These Terms of Service ("Terms") govern your use of the Kaarta platform and services provided by Kaarta Labs Pvt Ltd ("Kaarta," "we," "us," or "our"). By accessing or using our services, you agree to be bound by these Terms.

If you are using Kaarta on behalf of a business, you represent that you have authority to bind that business to these Terms.

Kaarta provides an AI-powered back-office operating system for businesses, including:

• Transaction capture and categorization via WhatsApp, email, and web
• GST compliance tracking and filing assistance
• Receivables and payables management
• Bank reconciliation and cash flow visibility
• Integration with accounting software (Tally), banks, and government portals

To use Kaarta, you must:

• Provide accurate and complete registration information
• Maintain the security of your account credentials
• Promptly update any changes to your information
• Be at least 18 years old or have legal authority to enter contracts

You are responsible for all activities that occur under your account.

Pricing: Kaarta is offered as a subscription service. Current pricing is available on our website. We may change pricing with 30 days notice.

Billing: Subscriptions are billed monthly in advance. Payment is due upon invoice. We accept payments via Razorpay (UPI, cards, net banking).

Refunds: We offer a 14-day money-back guarantee for new subscriptions. After this period, fees are non-refundable. Unused portions of cancelled subscriptions are not refunded.

Taxes: Prices are exclusive of GST (18%) which will be added to your invoice.

You agree not to:

• Use Kaarta for any unlawful purpose or to facilitate illegal activities
• Upload false, fraudulent, or misleading financial data
• Attempt to gain unauthorized access to our systems
• Interfere with or disrupt the service or servers
• Reverse engineer, decompile, or disassemble the platform
• Resell or redistribute the service without authorization
• Use the service to send spam or unsolicited communications

Ownership: You retain ownership of all data you upload to Kaarta. By using our service, you grant us a license to use, process, and store your data solely to provide and improve our services.

Accuracy: You are responsible for the accuracy of data you provide. Kaarta's AI agents work with the information you supply — garbage in, garbage out.

Backup: While we maintain backups, you are responsible for maintaining your own copies of important data.

Export: You can export your data at any time through the platform or by contacting support.

Nature of AI: Kaarta uses artificial intelligence to process transactions, categorize expenses, and provide recommendations. AI systems can make errors.

Human Oversight: You are responsible for reviewing AI-generated outputs before taking action, especially for compliance filings and financial decisions.

No Professional Advice: Kaarta is a tool to assist with back-office operations. It does not provide legal, tax, or financial advice. Consult qualified professionals (CA, lawyer) for specific advice.

Kaarta integrates with third-party services (WhatsApp, banks via Account Aggregator, GST portal via GSPs, Tally). Your use of these integrations is subject to their respective terms. We are not responsible for third-party service availability or changes.

Kaarta and its original content, features, and functionality are owned by Kaarta Labs Pvt Ltd and are protected by copyright, trademark, and other intellectual property laws. You may not use our branding without permission.

To the maximum extent permitted by law, Kaarta shall not be liable for:

• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, data, or business opportunities
• Penalties or interest from missed compliance deadlines
• Errors in AI-generated categorizations or recommendations
• Actions taken based on information provided by the platform

Our total liability shall not exceed the fees paid by you in the 12 months preceding the claim.

Kaarta is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the service will be uninterrupted, error-free, or completely secure.

You agree to indemnify and hold harmless Kaarta, its officers, directors, employees, and agents from any claims, damages, or expenses arising from your use of the service, violation of these Terms, or infringement of any third-party rights.

By You: You may cancel your subscription at any time through the platform or by contacting support. Access continues until the end of your billing period.

By Us: We may suspend or terminate your account for violation of these Terms, non-payment, or at our discretion with reasonable notice.

Effect: Upon termination, your right to use the service ceases. We will retain your data for 30 days for you to export, after which it may be deleted (except as required by law).

We may modify these Terms at any time. We will notify you of material changes via email or through the platform at least 30 days before they take effect. Continued use after changes constitutes acceptance.

These Terms are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts in Bangalore, Karnataka.
